2. Client Obligations
To enable us to perform our obligations, you shall cooperate with us by providing any information, access to accounts (e.g., Google Analytics, social media profiles), and feedback in a timely manner. You are responsible for the accuracy and legality of all materials and data you provide.
3. Fees and Payment
Fees for Services will be set out in the SOW. Unless otherwise specified, invoices are due upon receipt. Late payments may incur interest charges. We reserve the right to suspend Services for non-payment of outstanding invoices.
4. Intellectual Property
We retain all rights to our pre-existing intellectual property, including our methodologies, software, and analytical models. You retain all rights to your pre-existing intellectual property, including your branding and proprietary data. Upon full payment for the Services, you will own the final deliverables (e.g., ad creatives, reports) created specifically for you, but not the underlying tools or technology used to create them.
5. Confidentiality
Both parties agree to keep confidential all non-public information received from the other party. This includes business strategies, client data, campaign performance data, and financial information. This obligation of confidentiality will survive the termination of our agreement.
6. Disclaimer of Warranties
The Services are provided on an 'as is' basis. Matt Hartley Lighting LLC makes no warranties, expressed or implied, regarding the results you will achieve. While we strive for excellence, we do not guarantee specific outcomes such as search engine rankings, lead generation, or sales increases, as these are dependent on many factors beyond our control. 7. Limitation of Liability
In no event shall Matt Hartley Lighting LLC or its suppliers be liable for any indirect, incidental, special, or consequential damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use our Services, even if we have been notified of the possibility of such damage.
8. Term and Termination
The term of the agreement will be specified in the SOW. Either party may terminate the agreement with written notice if the other party commits a material breach of these Terms. Upon termination, you are responsible for paying for all Services rendered up to the termination date.
9. Modifications to Terms
Matt Hartley Lighting LLC may revise these Terms at any time without notice. By using this website or our Services, you are agreeing to be bound by the then-current version of these Terms.
10. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of the State of Wyoming, and you irrevocably submit to the exclusive jurisdiction of the courts in that State.
